Terms of Service
Introduction
These Terms of Service (“Terms”) govern your access to and use of the software, websites, and services provided by Adjoint (“we,” “our,” or “us”), including Adjoint: AI Copilot for Unity (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.
Eligibility
You must be at least 13 years old to use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and “you” refers to both you and that organization.
Accounts
To access certain features, you may be required to create an account. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain the security and confidentiality of your account credentials.
- Promptly notify us of any unauthorized access or use of your account.
- Accept responsibility for all activities that occur under your account.
License to Use the Service
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business use. This license does not include any right to resell, redistribute, or create derivative works of the Service, except as expressly permitted.
Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party right.
- Reverse engineer, decompile, or attempt to derive the source code of the Service, except to the extent permitted by law.
- Interfere with, disrupt, or attempt to gain unauthorized access to the Service, its infrastructure, or related systems.
- Upload or transmit malicious code, viruses, or any content intended to harm others.
- Use the Service to generate content that is unlawful, harmful, harassing, defamatory, or infringing.
- Resell, sublicense, or commercially exploit the Service without our prior written consent.
Your Content
The Service may allow you to submit, upload, or generate code, assets, prompts, or other materials (“Your Content”). You retain all ownership rights in Your Content. You grant us a limited, worldwide, royalty-free license to host, process, and transmit Your Content solely as necessary to provide and improve the Service. You are solely responsible for Your Content and for ensuring you have the rights necessary to use it with the Service.
AI-Generated Output
The Service uses artificial intelligence to generate code, assets, and other output (“Output”). Subject to your compliance with these Terms, you own the Output you generate through your use of the Service, and you may use it in commercial projects. You acknowledge that Output may be non-unique, may contain inaccuracies, and should be reviewed before use. You are responsible for evaluating the suitability and legality of any Output before relying on it.
Our Intellectual Property
The Service, including its software, design, trademarks, and all related intellectual property, is owned by Adjoint or its licensors. Except for the limited rights expressly granted in these Terms, no rights are transferred to you.
Third-Party Services
The Service may integrate with or rely on third-party services, including AI model providers, cloud infrastructure, and Unity. Your use of those services is subject to their own terms, and we are not responsible for their practices, availability, or content.
Fees and Billing
Certain features of the Service may require payment. Fees, billing cycles, and available plans will be described at the point of purchase. Unless otherwise stated, all fees are non-refundable. We may change our pricing at any time, with notice where required by law. You are responsible for any applicable taxes.
Beta and Preview Features
We may offer features identified as “beta,” “preview,” or similar (“Beta Features”). Beta Features are provided for evaluation purposes, may be changed or discontinued at any time, and are offered “as is” without warranties of any kind.
Termination
We may suspend or terminate your access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms or if we are required to do so by law. You may stop using the Service at any time. Upon termination, the rights granted to you under these Terms will end, but sections that by their nature should survive (including ownership, disclaimers, limitations of liability, and indemnification) will remain in effect.
Disclaimer of Warranties
The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any Output will be accurate or reliable.
Limitation of Liability
To the fullest extent permitted by law, Adjoint and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. Our total aggregate liability arising out of or related to these Terms or the Service will not exceed the greater of the amounts you paid to us for the Service in the twelve months preceding the event giving rise to liability, or one hundred U.S. dollars ($100).
Indemnification
You agree to indemnify and hold harmless Adjoint and its affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, Your Content, or your violation of these Terms or any applicable law.
Governing Law and Disputes
These Terms are governed by the laws of the State of California, United States, without regard to its conflict of laws principles. Any disputes arising out of or related to these Terms or the Service will be resolved in the state or federal courts located in California, and you consent to the exclusive jurisdiction of those courts.
Changes to These Terms
We may update these Terms from time to time. The revised version will be effective immediately upon posting within the Service. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
